End user licence agreement

This agreement is between you and Stories Not Atoms Ltd (“we”, “us”), a company registered in England and Wales, and covers your use of the Shotcount application (“the Software”).

Licence

We grant you a non-exclusive, non-transferable licence to install and use the Software on Apple Mac computers you own or control, for the number of seats and the period stated in your licence key or pilot agreement. During a pilot, the licence is limited to evaluation on the productions we have agreed with you.

What you may not do

You may not sell, rent, sublicense or distribute the Software; reverse engineer it except where the law permits; remove notices from it; or use it to build a competing product.

Your content

Media, annotations and session data you handle with the Software are yours. The Software moves that data between machines you and your session members control; we do not receive it and have no access to it.

Updates

The Software may check for and download updates over the internet. You can turn automatic updates off in the app’s settings.

Warranty and liability

The Software is provided as is. To the fullest extent permitted by law we exclude all warranties, and our total liability to you under this agreement is limited to the amount you have paid us for the Software in the twelve months before the claim. Nothing in this agreement limits liability for death, personal injury, fraud or anything else that cannot be limited by law.

Term

This agreement lasts until it ends. It ends automatically if you breach it, or when a pilot or subscription period expires. On ending, stop using and delete the Software.

Governing law

This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
